These Website Terms of Use ("Terms") govern your access to and use of the websites located at carriersscore.com, app.carriersscore.com, and any related subdomains, pages, and content (collectively, the "Site") operated by Blacktop Digital Assets, LLC, a Virginia limited liability company, doing business as "CarriersScore" ("CarriersScore," "we," "us," or "our"). Paid access to the CarriersScore platform and data services (the "Service") is governed by the separate Subscriber Terms of Service (the "Subscriber Terms"), which control over these Terms to the extent of any conflict for subscribers.
PLEASE READ THESE TERMS CAREFULLY. THEY INCLUDE A BINDING ARBITRATION PROVISION AND CLASS-ACTION WAIVER (SECTION 14), DISCLAIMERS OF WARRANTIES (SECTION 9), AND LIMITATIONS OF LIABILITY (SECTION 10) THAT AFFECT YOUR LEGAL RIGHTS.
By accessing or using the Site, you agree to be bound by these Terms, the Privacy Policy, the Cookie Policy, and the Acceptable Use Policy, each incorporated by reference. If you do not agree, do not access or use the Site. If you use the Site on behalf of an organization, you represent that you are authorized to bind that organization, and "you" includes that organization.
The Site is intended for businesses and for individuals who are at least 18 years old and who have the capacity to form a binding contract. The Site is not directed to children, and we do not knowingly collect information from children under 13.
Content on the Site — including any carrier information, scores, ratings, bands, reason codes, summaries, and educational material — is provided for general business-informational purposes only. It is not legal, compliance, insurance, financial, or safety advice, and it is not a substitute for your own due diligence or the advice of a qualified professional. See the Data Sourcing, Accuracy & Dispute Policy and the FCRA & Permissible-Use Notice.
CarriersScore is not a "consumer reporting agency" and the Site and Service do not provide "consumer reports" as those terms are defined by the federal Fair Credit Reporting Act (15 U.S.C. §1681 et seq.) ("FCRA"). You may not use the Site or any output for any purpose governed by the FCRA, including determining an individual's eligibility for credit, employment, insurance, housing, or any similar personal purpose. See Doc 08.
The Site, the Service, the CarriersScore name and logos, the scoring methodology, the CarriersScore score/band outputs, and all software, text, graphics, compilations, and arrangements are owned by CarriersScore or its licensors and are protected by copyright, trademark, trade secret, and other laws. Underlying factual data sourced from public government records remains in the public domain; our selection, compilation, organization, presentation, scoring, and analysis are proprietary. Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and view the Site for your internal business purposes. All rights not expressly granted are reserved. You may not copy, scrape, frame, mirror, harvest, or create derivative works from the Site except as expressly permitted.
Your use of the Site is subject to the Acceptable Use Policy, which prohibits, among other things, automated scraping or bulk extraction, circumventing access or rate-limiting controls, reselling or republishing data, and using outputs for FCRA-covered or otherwise prohibited purposes. Violation is a material breach of these Terms.
Some features require an account. You are responsible for the accuracy of your registration information, for safeguarding your credentials, and for all activity under your account. Notify us promptly at info@carriersscore.com of any unauthorized use.
The Site may reference or link to third-party sites, data, or services that we do not control. We do not endorse and are not responsible for third-party content, and your dealings with third parties are solely between you and them.
THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, CARRIERSSCORE DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SITE OR ANY DATA, SCORE, OR OUTPUT IS ACCURATE, COMPLETE, CURRENT, RELIABLE, UNINTERRUPTED, SECURE, OR ERROR-FREE. YOU ASSUME ALL RISK FOR YOUR USE OF, AND ANY DECISION MADE IN RELIANCE ON, THE SITE. WE DO NOT WARRANT THAT USE OF THE SITE WILL SATISFY ANY LEGAL, REGULATORY, OR STANDARD-OF-CARE OBLIGATION OR DEFEAT ANY CLAIM. Some jurisdictions do not allow certain disclaimers, so portions may not apply to you.
TO THE FULLEST EXTENT PERMITTED BY LAW, CARRIERSSCORE AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THE SITE, EVEN IF ADVISED OF THE POSSIBILITY. FOR USERS WHO DO NOT HAVE A PAID SUBSCRIPTION, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). (Paid subscribers: see the liability cap in the Subscriber Terms.) These limitations apply regardless of the theory of liability and form an essential basis of the bargain.
You agree to defend, indemnify, and hold harmless CarriersScore and its members, managers, officers, employees, agents, and licensors from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your access to or use of the Site, your violation of these Terms, your violation of any law or third-party right, or any decision you make in reliance on the Site.
We may modify or discontinue the Site at any time. We may update these Terms by posting a revised version with a new "Last updated" date; material changes will be identified. Your continued use after changes become effective constitutes acceptance.
These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-laws principles. Subject to Section 14, the exclusive venue for any matter not subject to arbitration is the state and federal courts located in Pittsylvania County, Virginia, and you consent to personal jurisdiction there.
Please read this Section carefully — it affects how disputes are resolved. Any dispute, claim, or controversy arising out of or relating to the Site or these Terms will be resolved by final and binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules (or Consumer rules where applicable), seated in Pittsylvania County, Virginia, before a single arbitrator. You and CarriersScore each waive any right to a jury trial and to participate in a class, collective, or representative action; claims must be brought in an individual capacity only. Either party may bring an individual claim in small-claims court, and either party may seek injunctive relief in court for actual or threatened infringement or misuse of intellectual property or confidential information. If the class-action waiver is found unenforceable, the remainder of this Section is void as to the affected claims. These Terms (with the documents they incorporate) are the entire agreement regarding the Site. If any provision is unenforceable, it will be limited or severed so the remainder stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign freely. Headings are for convenience only.
